Provider Terms & Conditions
Effective date: 21 July 2026
These Provider Terms & Conditions govern your listing and sale of products and/or services through Wholeness Community Marketplace. By completing Provider onboarding, activating a storefront, or listing any product or service, you agree to these Provider Terms, the applicable Provider Fee Agreement, our Privacy Policy, and our Community Guidelines.
Standard Platform Fee
The standard commission rate is 30% of each gross sale. Your individual rate is set in your signed Provider Fee Agreement and may differ. Contact us at support@wholenesscommunity.com to discuss your rate.
1. Provider Eligibility and Verification
You represent that you are legally authorized to do business, hold any licenses, permits, or certifications required to sell your listed products or services (including, where applicable, health, wellness, coaching, or provider credentials), and are at least 18 years old. WCM may require documentation such as a business license, resale certificate, W-9 or equivalent tax form, and identity verification before approving or continuing your Provider account, and may decline or revoke approval at our reasonable discretion, including where a listing is inconsistent with the Platform's holistic community standards.
2. Your Storefront, Listings, and Content
You are solely responsible for the accuracy, legality, and completeness of your listings, including product descriptions, pricing, images, ingredient or material disclosures, availability, and any health-related claims. You may not list products that are illegal, counterfeit, recalled, or that make unsubstantiated medical claims. You grant WCM a non-exclusive, worldwide, royalty-free, sublicensable license to display, reproduce, and distribute your listing content (including photos, descriptions, and your business name and logo) on the Platform and in WCM marketing materials (including email, social media, and paid promotion) for the purpose of promoting your storefront and the Platform generally. You retain ownership of your content and trademarks.
3. Fees, Commission, and Payment
In exchange for access to the Platform's Member base, marketing, and transaction infrastructure, you agree to pay WCM a referral/commission fee (the "Platform Fee") on each sale generated through the Platform, calculated as a percentage of the gross sale price (before taxes and shipping, unless otherwise stated). The standard Platform Fee is thirty percent (30%), provided that the specific rate applicable to your account is the rate set forth in your signed Provider Fee Agreement, which may be individually negotiated and adjusted by WCM's sales team and supersedes the standard rate stated here. WCM may change the standard Platform Fee prospectively with at least 30 days' notice; changes to your individually negotiated rate require a signed updated Fee Agreement or other written agreement between you and WCM. WCM (or its designated payment processor) will collect payment from Members at checkout, deduct the applicable Platform Fee and any payment-processing fees, and remit the net proceeds to you on the payout schedule described during onboarding (typically on a rolling or periodic basis). You are responsible for any fees charged by your bank or payment provider to receive payouts. WCM may withhold or reverse payouts to cover refunds, chargebacks, disputed transactions, or amounts owed to WCM.
4. Taxes
You are solely responsible for determining, collecting, reporting, and remitting all applicable sales, use, VAT, or other transaction taxes on your sales, and for your own income tax obligations. WCM may collect and remit sales tax on your behalf in jurisdictions where required by marketplace facilitator laws, but this does not relieve you of responsibility for your own tax filings.
5. Order Fulfillment, Returns, and Customer Service
As between you and WCM, you are the seller of record for products and services you list, and you are responsible for fulfillment, shipping, delivery timelines, product quality and safety, warranty obligations, and handling returns, refunds, and customer inquiries in accordance with the return policy you post on your storefront (which must comply with applicable consumer protection law). WCM may facilitate refunds through the Platform's payment system but does not assume liability for your fulfillment or the condition of goods or services delivered.
6. Prohibited Products and Compliance
You may not list: illegal drugs or controlled substances; weapons; hazardous materials; items infringing third-party intellectual property; adult content; products subject to recall; or products/services making health claims that violate FDA, FTC, or other applicable regulatory guidance. You agree to comply with all laws applicable to your products and business, including product safety, labeling, advertising, and data privacy laws.
7. Reviews, Ratings, and Member Interactions
Members may post reviews and ratings of your products, services, and storefront. You may not offer incentives in exchange for positive reviews, post fake reviews, or retaliate against Members for honest feedback. You may respond publicly to reviews in a professional manner consistent with the Community Guidelines.
8. Independent Contractor Relationship
You and WCM are independent contractors. Nothing in these Provider Terms creates a partnership, joint venture, agency, or employment relationship. You have no authority to bind WCM, and WCM has no authority to bind you, except as expressly stated in these Provider Terms or the Provider Fee Agreement.
9. Insurance and Indemnification
Depending on your product or service category, WCM may require you to maintain general liability or professional liability insurance and to provide proof of coverage on request. You agree to indemnify and hold harmless WCM and its officers, employees, and affiliates from claims, damages, and expenses (including reasonable attorneys' fees) arising from your products, services, listings, breach of these Provider Terms, or violation of law.
10. Confidentiality
Each party agrees to use the other's confidential business information (including Member data, sales data, and pricing terms) solely to perform under these Provider Terms and not to disclose it to third parties except as required by law or as necessary to operate the Platform.
11. Suspension and Termination
WCM may suspend or terminate your Provider account, remove listings, or withhold payouts pending investigation if we reasonably believe you have violated these Provider Terms, engaged in fraud, or created risk to Members or the Platform. You may close your storefront at any time, subject to fulfilling outstanding orders and resolving any amounts owed. Sections that by their nature should survive termination (including Sections 2, 3–4, 9–10, 13–16) will survive.
12. Intellectual Property
The Platform, its design, the Wholeness Wheel framework, and all WCM trademarks and content not submitted by Providers are owned by WCM or its licensors. You may use the WCM name and logo only as permitted in our Provider brand guidelines, solely to promote your storefront on the Platform.
13. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." WCM DOES NOT GUARANTEE ANY LEVEL OF SALES, TRAFFIC, OR MEMBER ENGAGEMENT TO ANY PROVIDER, AND DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WCM WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, ARISING FROM THESE PROVIDER TERMS OR YOUR USE OF THE PLATFORM. WCM'S TOTAL LIABILITY WILL NOT EXCEED THE PLATFORM FEES YOU PAID TO WCM IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
15. Dispute Resolution; Arbitration; Class Action Waiver
Except for claims for injunctive relief to protect intellectual property or confidential information, any dispute arising out of or relating to these Provider Terms or the Provider Fee Agreement will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in the State of Georgia. YOU AND WCM EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.
16. Governing Law
These Provider Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles, except to the extent superseded by the Federal Arbitration Act with respect to Section 15.
17. Changes to These Terms and Fees
We may update these Provider Terms and the standard Platform Fee from time to time, with reasonable notice as described in Section 3. Your continued listing of products or services after changes take effect constitutes acceptance of the revised terms. Individually negotiated fee rates remain governed by your signed Provider Fee Agreement until superseded in writing.
18. General Provisions
If any provision of these Provider Terms is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver. You may not assign these Provider Terms without our written consent; WCM may assign them in connection with a merger, acquisition, or sale of assets. These Provider Terms, together with your Provider Fee Agreement, the Privacy Policy, and Community Guidelines, are the entire agreement between you and WCM regarding your Provider relationship.
